1. Acceptance of Terms

By registering, accessing, or using the Coaching Management Software (“Service”), you confirm that you have read, understood, and agree to be bound by these Terms & Conditions. This agreement is executed electronically and is legally binding under applicable laws including the Information Technology Act, 2000.

2. Description of Service

The Service is a cloud-based software platform providing tools including but not limited to:

  • Student Management
  • Staff Management
  • Attendance
  • Fees Management
  • Exams (Online/Offline)
  • Messaging & Notifications
  • Reports and Analytics

The Service is provided on a subscription basis and may be modified, updated, or discontinued at any time without prior notice.

3. User Accounts

  • Users must provide accurate and complete information.
  • Users are solely responsible for maintaining the confidentiality of login credentials.
  • Any activity under the user account shall be deemed as performed by the user.
  • The company shall not be liable for unauthorized access resulting from user negligence.
  • Account sharing across multiple institutions is strictly prohibited unless permitted.

4. Subscription and Payment

  • Subscription fees must be paid in advance.
  • All payments are non-refundable under any circumstances.
  • Failure to pay may result in suspension or termination without notice.
  • The company reserves the right to revise pricing at any time.
  • Continued use after pricing changes constitutes acceptance.

5. Data Ownership, Backup & Responsibility

  • All data entered into the software belongs to the customer.
  • The customer is solely responsible for maintaining backups of all data.
  • The company does not guarantee data storage, retention, or recovery.
  • The company shall not be liable for any loss, corruption, or deletion of data, including but not limited to: Server failure, Technical issues, Internet problems, Cyber attacks, or User error.

6. Acceptable Use Policy

Users agree NOT to:

  • Use the software for illegal activities
  • Attempt to hack, reverse engineer, or exploit the system
  • Copy, resell, sublicense, or distribute the software
  • Upload malicious or harmful content
  • Use the system to build a competing product

Violation may result in immediate termination without refund.

7. Intellectual Property Rights

  • All rights, title, and interest in the software remain with the company.
  • Customers are granted a limited, non-transferable, non-exclusive license to use the software.
  • No ownership rights are transferred.

8. Service Availability

  • The Service is provided on an “as-is” and “as-available” basis.
  • The company does not guarantee uninterrupted or error-free operation.
  • Downtime may occur due to maintenance or technical issues.
  • The company shall not be liable for any losses due to service interruptions.

9. Support and Maintenance

  • Support is provided during business hours only.
  • The company may release updates, modify features, or discontinue services at any time without liability.

10. Termination

The company may suspend or terminate accounts without notice if:

  • Payment is not made
  • Terms are violated
  • Fraudulent or illegal activity is detected
  • Abuse or misuse of the system occurs

No refunds will be provided upon termination.

11. Limitation of Liability

The company shall not be liable for:

  • Data loss, Business loss, or Loss of profits
  • Indirect or consequential damages
  • Third-party failures
  • Internet or hosting issues

12. Indemnification

The customer agrees to indemnify and hold harmless the company from any claims, damages, losses, or legal actions arising from:

  • Misuse of the Service
  • Violation of laws
  • Violation of these Terms

13. Force Majeure

The company shall not be liable for failure or delay in performance due to events beyond its control, including:

  • Natural disasters
  • Server failures
  • Cyber attacks
  • Government actions
  • Power or internet outages

14. Changes to Terms

The company reserves the right to modify these Terms at any time. Continued use of the Service constitutes acceptance of the updated Terms.

15. Governing Law & Jurisdiction

These Terms shall be governed by the laws of India. All disputes shall be subject to the exclusive jurisdiction of Ahilyanagar, Maharashtra.
